Technical Due Diligence

Know what youare buying.Or fix what abuyer will find.

Technology problems usually surface after closing, when they cost the most. We give buyers and sellers an independent, plain-English read on the technology early enough to act on it, with every problem sized in time and money.

AI claims, tested

“AI-powered” is in almost every pitch deck. We check it.

We look for real models, training data the company has rights to, and AI running in production, then compare that to what the business claims. Each claim is marked Supported, Partly supported or Not supported, with the evidence.

Use the AI Claims Checklist
Example · Lumora (fictional)
Our proprietary AI engine prices every quote.

Calls a third-party model with a fixed prompt. There is no model of its own.

Partly supported
Trained on ten years of customer data.

Customer contracts do not allow their data to be used for training.

Not supported
AI runs in production for every customer.

Live for all accounts since March, with logs to show it.

Questions

Asked before every deal.

How quickly can you start?

Within 5 business days of appointment.

What access do you need?

Read-only access to code repositories, the cloud console and key documents, plus interviews with the CTO and two or three engineers. Usually set up through the data room.

Will the target know?

Yes, for the Deal Technology Review, as it needs access and interviews. The Red Flag Review can be run from data room material alone.

How are fees paid?

The Red Flag Review in full on engagement. Other reviews 50% on engagement and 50% on delivery. No success fees, and never a share of the deal.

What size of deal?

Software and tech-enabled businesses with roughly USD 2M to 50M in revenue.

Who does the work?

Every review is led by a named senior architect with 10 or more years building and running production software, matched to the target's technology. Collate reviews every finding before it reaches you.

What do you not do?

We do not advise on price, valuation or whether to proceed, and we do not give legal, tax or financial advice. We assess the technology and estimate what it will cost to fix.
